Terms of Use

By downloading, installing, accessing, or using the Livebalance mobile application and related services (collectively, the “Platform”), you enter into a binding legal agreement with Appitate LLC (“we”, “our”, or “us”). These Terms of Use, together with the Privacy Policy, constitute the entire agreement between you and Appitate with respect to your use of the Platform.

These Terms apply to all individuals who access or use the Platform, including registered users (“Users”) and unregistered visitors.

We reserve the right to modify these Terms of Use at any time. Where changes are made, we will update the “Last Updated” date at the top of this page. We encourage you to review these Terms periodically. Your continued use of the Platform after any changes are published constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and may delete your account as described in Section 12.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE PLATFORM. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

1. Eligibility Requirements

1.1. To access or use the Platform, you must:

  • be at least 18 years of age. The Platform is strictly prohibited to persons under the age of 18;
  • have the legal capacity to enter into a binding agreement under the laws of your jurisdiction;
  • not be a person barred from receiving services under the laws of any applicable jurisdiction;
  • not have had a prior account suspended or permanently banned by Appitate for violations of these Terms.

You must continue to meet these eligibility requirements at all times while using the Platform.

1.2. We use Yoti age verification technology to verify user age at registration. You agree to provide truthful information during the age verification process. Providing false age information or attempting to circumvent age verification measures constitute a material breach of these Terms and are grounds for immediate account termination. If we discover or have reasonable grounds to believe that we have collected personal information from an individual under 18, we will without undue delay:

  • suspend the relevant account pending verification;
  • delete all personal information collected from that individual; and
  • take such additional steps as may be required under applicable law.

Parents or guardians who believe their child has created an account on the Platform should contact us immediately at [email protected].

2. Account Registration

2.1. Each individual may maintain only one active account on the Platform. Creating multiple accounts, including for the purpose of circumventing a suspension, ban, moderation action, or other restriction imposed by Appitate, constitutes a material breach of these Terms and may result in the suspension or termination of all associated accounts.

2.2. To create an account, you must provide accurate, current, and complete registration information and keep such information updated where applicable. You agree not to impersonate any person or entity or misrepresent your identity or affiliation with any person or entity. Your account is linked to your verified email address and age verification status. Certain registration information, including your verified email address and declared age, cannot ordinarily be changed after account creation. If you believe such information was submitted incorrectly, you must contact us at [email protected] and provide reasonable supporting documentation where requested. Certain profile information may be added or modified by you at any time through your account settings, including your display name, profile avatar, biography, visited countries, uploaded media, and password. You acknowledge that the processing of your personal information is governed by our Privacy Policy.

2.3. You are responsible for maintaining the confidentiality and security of your account credentials and for restricting access to your device and account. You may not share, transfer, sell, or otherwise permit any third party to access or use your account. You are solely responsible for:

  • maintaining the confidentiality of your login credentials;
  • all activities conducted through your account, whether authorised by you or not;
  • ensuring that your use of the Platform complies with these Terms and applicable law; and
  • notifying us immediately at [email protected] if you become aware of any unauthorised access to, use of, or security breach relating to your account.

2.4. We reserve the right to refuse registration, suspend access to the Platform, or require re-verification of account information where we reasonably believe that:

  • the information provided is inaccurate, misleading, fraudulent, or incomplete;
  • the account is being used in violation of these Terms;
  • the security or integrity of the Platform may be compromised; or
  • such action is necessary to comply with applicable law or regulatory obligations.

3. User Content

3.1. The Platform enables Users to create, upload, publish, transmit, and share content, including images, videos, text messages, and other materials (“User Content”). By using the Platform, you acknowledge and agree that you are solely responsible for all activities conducted through your account, including any User Content, communications or interactions initiated from your account. You agree to use the Platform in a lawful, respectful, and responsible manner and in compliance with these Terms and all applicable local, national, and international laws and regulations.

3.2. User Content must not violate these Terms, applicable law, or the rights of any third party. We reserve the right, at our sole discretion and with or without prior notice, to:

  • remove, restrict, disable access to, or moderate any User Content;
  • suspend or permanently terminate your account;
  • restrict access to certain Platform features;
  • report unlawful conduct to law enforcement authorities or competent regulatory bodies; and
  • take any other action we reasonably consider necessary to protect the Platform, its users, or third parties.

Users whose accounts have been suspended or terminated must not create new accounts or otherwise attempt to circumvent enforcement measures. Any such accounts may be terminated immediately upon detection. The enforcement of these Terms does not limit any civil, criminal, or regulatory liability arising from your conduct.

3.3. By uploading, publishing, or sharing User Content on the Platform, you represent and warrant that:

  • you own or have obtained all necessary rights, licences, permissions, and consents required to upload and share the User Content;
  • your User Content does not infringe or violate any intellectual property rights, privacy rights, personality rights, or other rights of any third party;
  • any individuals identifiable in your User Content have provided all necessary consents for the creation and sharing of such content on the Platform; and
  • your User Content complies with these Terms and applicable law.

4. Prohibited Activities

4.1. You must not upload, transmit, share, or otherwise make available any User Content that:

  • is sexually explicit, obscene, sexually exploitative, sexual or pornographic;
  • depicts, promotes, or facilitates sexual exploitation or abuse of any person, including minors;
  • is directed at, involves, or could be used to exploit, groom, or harm individuals under the age of 18;
  • constitutes hate speech, including content that promotes discrimination, hostility, or violence based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics;
  • depicts, glorifies, or incites violence, terrorism, or self-harm;
  • is defamatory, harassing, threatening, or intimidating toward any individual or group;
  • infringes the intellectual property rights, privacy rights, or personality rights of any third party;
  • contains malicious software, viruses, Trojan horses, or any code designed to harm, intercept, or disrupt systems;
  • is false, misleading, or deceptive in a manner that could harm other users or third parties;
  • violates any applicable law or regulation, including export controls, sanctions, or anti-money laundering rules.

(collectively, “Prohibited Content”).

4.2. You must not:

  • impersonate any person or entity, including Appitate staff, other users, or public figures;
  • create an account or access the Platform if you are under 18 years of age;
  • circumvent or attempt to circumvent any technical protection measure, content moderation system, or access restriction implemented by Appitate;
  • use automated tools (bots, crawlers, scrapers) to access, collect data from, or interact with the Platform without express written authorisation from Appitate;
  • commercially exploit any part of the Platform or its users without Appitate's express written consent;
  • solicit personal information from, or attempt to use the Platform for unsolicited commercial solicitation of other users;
  • engage in any activity that interferes with, disrupts, or places unreasonable load on the Platform's infrastructure;
  • engage in any activity designed to inflate follower counts, or artificially influence the Platform's features;
  • attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Platform;
  • create multiple accounts to evade suspension or ban;
  • use the Platform to send unsolicited commercial communications (spam);
  • record, screenshot, capture, reproduce, distribute, disclose or otherwise capture call content, private text messages, or media involving another user without their explicit consent.

(collectively, “Prohibited Conduct”).

5. Anti-Slavery and Anti-Trafficking Policy

5.1. We maintain a zero-tolerance policy toward human trafficking, sexual exploitation, modern slavery, and any form of abusive or exploitative conduct.

5.2. You may not use the Platform to promote, facilitate, organise, solicit, advertise, or engage in:

  • human trafficking or sexual exploitation;
  • coercive, abusive, or exploitative conduct;
  • recruitment of individuals for exploitative purposes; or
  • any activity involving physical abuse, forced labour, or unlawful exploitation.

5.3. We reserve the right to investigate, remove, restrict, report, or preserve information relating to any suspected exploitative activity and to cooperate with law enforcement authorities, regulators, and child protection or anti-trafficking organisations where appropriate or legally required.

6. Prohibition of CSAE (Child Sexual Abuse and Exploitation) Content

6.1. Appitate maintains a zero-tolerance policy toward child sexual abuse and exploitation (“CSAE”) and any activity that endangers minors.

6.2. You may not use the Platform to create, upload, transmit, share, solicit, promote, or distribute:

  • content depicting or facilitating child sexual abuse or exploitation;
  • exploitative or sexualised interactions involving minors;
  • grooming behaviour or attempts to exploit minors;
  • links, instructions, or materials related to CSAE activity; or
  • any content or conduct that violates applicable child protection laws.

6.3. We use moderation technologies, age verification measures, automated detection systems, and human review processes to identify and prevent prohibited activity on the Platform.

6.4. We reserve the right to remove content, suspend or terminate accounts, preserve relevant evidence, and report suspected CSAE activity to law enforcement authorities, child protection organisations, and other appropriate entities as required by law or where necessary to protect users and the public.

6.5. If you become aware of content or activity that may involve CSAE or exploitation of minors, please report it immediately through the Platform or by contacting us at [email protected].

7. Content Moderation

7.1. To maintain the safety, integrity, and lawful operation of the Platform, we use a combination of automated technologies and human moderation processes to detect, review, prevent, and address violations of these Terms, applicable law, and our internal safety and moderation policies. Moderation measures include automated scanning using third-party moderation technologies, as well as review by internal moderation personnel. Moderation decisions may be based on automated signals, user reports, internal investigations, or other information available to us. Appitate reserves the right, at its sole discretion, to remove content, restrict visibility, limit account functionality, or terminate accounts where we reasonably believe that content or conduct violates these Terms or may expose users, third parties, or the Platform to harm or legal risk. While we implement reasonable moderation and safety measures, we do not guarantee that all harmful, unlawful, or prohibited content or conduct will be identified, prevented, or removed. The Platform is a user-generated content environment, and users remain solely responsible for their own conduct and content.

7.2. Users may report content or accounts that may violate these Terms through the reporting tools made available on the Platform. We review reports in accordance with our internal moderation procedures and may take action where appropriate. We may limit the information disclosed regarding moderation outcomes in order to protect user privacy, confidentiality, legal obligations, and the integrity of our moderation processes. Abuse of reporting systems, including knowingly false, malicious, or repetitive reports, may itself constitute a violation of these Terms.

7.3. Moderation and enforcement actions may include:

  • content removal;
  • warnings;
  • temporary restrictions;
  • account suspension; or
  • permanent account termination.

Users may appeal certain moderation decisions by contacting us at [email protected]. Submission of an appeal does not guarantee reinstatement or reversal of any moderation decision.

8. Intellectual Property

8.1. All intellectual property rights in and to the Platform, including its software, source code, functionality, design, interfaces, graphics, logos, trademarks, trade names, audiovisual materials, databases, compilations, editorial content, and all other proprietary materials and content made available through the Platform (collectively, the “Platform Materials”), are owned by or licensed to Appitate and are protected under applicable intellectual property laws. Except as expressly permitted under these Terms, you may not copy, reproduce, modify, distribute, transmit, publish, display, perform, create derivative works from, license, sell, exploit, or otherwise use any Platform Materials without Appitate's prior written consent. Nothing in these Terms grants you any ownership rights or other intellectual property rights in the Platform or the Platform Materials.

8.2. You retain ownership of the intellectual property rights in the User Content you create and upload to the Platform, subject to the rights and licences granted under these Terms. By uploading, posting, or otherwise making User Content available through the Platform, you grant Appitate a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, process, reproduce, display, distribute, transmit, moderate, and otherwise use such User Content solely for the purposes of:

  • operating, providing, and improving the Platform;
  • enabling Platform functionality;
  • performing moderation, trust and safety activities;
  • complying with legal obligations; and
  • enforcing these Terms.

This licence terminates when the relevant User Content or your account is deleted, except to the extent retention is required by applicable law, legitimate business purposes, dispute resolution, enforcement of these Terms, or technical backup systems.

8.3. If you submit suggestions, ideas, recommendations, or other feedback regarding the Platform (“Feedback”), you grant Appitate a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use, implement, modify, commercialise, and otherwise exploit such Feedback without restriction or compensation to you.

8.4. If you believe that content available on the Platform infringes your intellectual property rights, you may submit a written notice to [email protected] containing:

  • identification of the intellectual property right allegedly infringed;
  • identification of the allegedly infringing material and sufficient information to locate it;
  • your name and contact details;
  • a statement that you have a good-faith belief that the disputed use is unauthorised;
  • a statement that the information provided is accurate and, where applicable, made under penalty of perjury; and
  • your physical or electronic signature.

If your content is removed following an infringement notice and you believe such removal was made in error, you may submit a counter-notice to [email protected]. We reserve the right to remove allegedly infringing content, suspend access to such content, and terminate accounts of repeat infringers at our discretion.

9. Privacy, Third-Party Services and Links

9.1. Our Privacy Policy forms an integral part of these Terms and explains how we collect, use, disclose, store, and otherwise process personal information in connection with the Platform. By using the Platform, you acknowledge that your personal information will be processed in accordance with the Privacy Policy.

9.2. The Platform uses tracking technologies, including device identifiers, and similar technologies to collect information about how you access and use the Platform. Such technologies may be used to analyse usage patterns, measure Platform performance, attribute installs and events, deliver and improve Platform features, and support advertising and marketing activities. The collection and use of information through these technologies is described in further detail in our Privacy Policy. Where required by applicable law, we will seek your consent before deploying non-essential tracking technologies. You may manage certain tracking preferences through your device settings or the privacy controls available within the Platform, subject to the limitations described in the Privacy Policy.

9.3. The Platform integrates third-party services. Your use of the Platform involves data processing by these third parties as described in the Privacy Policy. Appitate does not own or control third-party services and is not responsible for the availability, functionality, security, accuracy, legality, or practices of such third parties. Your interactions with third-party services may also be governed by their own terms, policies, and conditions.

9.4. The Platform content may contain links to third-party websites or resources. These links are provided for your convenience only. We do not endorse and are not responsible or liable for the content, products, services, or practices of any third-party websites. You access third-party websites at your own risk and subject to their own terms and conditions.

10. Disclaimers and Warranties

10.1. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, APPITATE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY.

10.2. Without limiting the foregoing, Appitate does not warrant that:

  • the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
  • the results obtained from using the Platform will be accurate, reliable, or meet your requirements;
  • any User Content available on the Platform is accurate, complete, or up to date;
  • any defect in the Platform will be corrected.

10.3. Appitate is not responsible for the conduct, whether online or offline, of any User of the Platform. You interact with other users entirely at your own risk.

10.4. Nothing in these Terms limits or excludes any warranty implied by law that cannot be lawfully excluded. For consumers in the European Union, statutory rights under applicable consumer protection law remain unaffected.

11. Limitation of Liability

11.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, APPITATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF APPITATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2. Without limiting the above, Appitate is specifically not liable for:

  • any User Content submitted or transmitted by users, including defamatory, offensive, infringing, or illegal User Content;
  • any damage to your device or data arising from downloading or using the Platform;
  • any interruption, suspension, or termination of the Platform;
  • any unauthorised access to or alteration of your User Content or account;
  • any conduct of third parties (including other users) on or through the Platform.

11.3. To the extent Appitate's liability cannot be fully excluded under applicable law (including under mandatory consumer protection law in the European Union), Appitate's total aggregate liability to you for all claims arising under or related to these Terms shall not exceed the greater of: (a) the amount you paid to Appitate LLC in the twelve (12) months preceding the event giving rise to the claim, or (b) EUR 100 / USD 100. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that applicable law does not permit to be excluded.

12. Account Suspension and Termination

12.1. You may delete your account at any time through the following methods:

  • in-app account deletion;
  • via the landing page through the Contact Us form; and
  • for banned users — a Delete Account option is available on the blocking screen presented upon login.

Account deletion is irreversible. Upon deletion, your profile, content, chat history, and associated personal data will be permanently removed subject to the data retention periods and legal hold obligations described in the Privacy Policy.

12.2. We reserve the right to suspend or permanently terminate your account, with or without prior notice, in the event of:

  • violation of these Terms of Use or any incorporated policy;
  • conduct that poses a risk to the safety of other users, Appitate, or third parties;
  • provision of false information, including misrepresenting your age;
  • circumvention of age verification measures;
  • a valid request from law enforcement or a regulatory authority;
  • any other conduct that Appitate reasonably determines poses a material risk to the safety, integrity, or lawful operation of the Platform or its users.

Upon any termination of your account your right to access and use the Platform immediately ceases, your profile will no longer be visible to other users and your User Content will be deleted in accordance with the Privacy Policy. Upon termination of your account by Appitate for cause, you forfeit any rights to access the Platform and must not create a new account.

12.3. Any provisions of these Terms which by their nature are intended to survive termination (including, without limitation, provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and data protection obligations) shall continue in full force and effect after termination.

13. Governing Law and Dispute Resolution

13.1. These Terms of Use and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. For users in the European Union, nothing in this clause limits or affects any mandatory consumer protection rights you may have under the laws of your Member State of residence.

13.2. Before initiating any formal dispute resolution procedure, you agree to first contact Appitate at [email protected] with a written description of your claim and the relief sought. We will endeavour to resolve the dispute informally within 30 days of receiving your notice.

13.3. If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or in connection with these Terms shall be finally resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) in accordance with its rules, with the seat of arbitration in London, England, the language of arbitration being English, and the dispute being heard by one (1) arbitrator unless the LCIA or the parties determine otherwise.

14. Indemnification

14.1. To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Appitate LLC. and its officers, directors, employees, agents, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your access to or use of the Platform, your User Content, your violation of these Terms of Use, your violation of any applicable law or the rights of any third party, any false or misleading information you provide to Appitate. Appitate reserves the right, at your expense, to assume exclusive control of any matter for which you are required to indemnify us, and you agree to cooperate with our defence of such claims.

15. General Provisions

15.1. These Terms of Use, together with the Privacy Policy and any other policies expressly incorporated herein, constitute the entire agreement between you and Appitate with respect to the Platform and supersede all prior and contemporaneous understandings and agreements. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be unenforceable or invalid, that provision shall be limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

15.2. Appitate's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.3. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms, in whole or in part, including in connection with a merger, acquisition, or sale of assets, provided that the assignee assumes all obligations under these Terms.

15.4. Appitate shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, war, terrorism, labour disputes, internet outages, or failures of third-party infrastructure.
